The process of listing your property on ROVERGROVER.COM is very easy and convenient. We provide individuals, Real Estate Brokers, Landlords and Owners the tools to comprehensively showcase their property. You can add detailed descriptions of your listing and as many images as required. Our search menu allows for many options.

Users have a variety of search functions, including the option of searching for specific Real Estate Brokers & Agents, sorting by price, bedrooms, and what street and zip code the property is located. An interactive map accompanies each listing to show the specific location, in the given neighborhood.

ACCEPTANCE OF TERMS

ROVERGROVER Incorporated (RG), operating under the bylaws of the State of New York, provides two primary services, a local business directory and apartment listing service (referred to hereafter as "Services") subject to the following Terms of Use (Terms). By using the Services in any way, you (User) are agreeing to comply with the Terms. In addition, when using any of RG services, the User agrees to abide by all guidelines set forth, which may subsequently change.  If the User dissents to any of the following Terms, hereafter, the User�s option is to withdraw you�re listing or posting from ROVERGROVER.COM.

MODIFICATIONS TO THIS AGREEMENT

We reserve the right, at our sole discretion, to change, modify or otherwise alter these terms and conditions at any time.  Such modifications shall become effective immediately upon the posting thereof. The User must review this agreement on a regular basis to keep he or she apprised of any changes.

CONTENT

The User understands that all postings, messages, text, files, images, photos, video, sounds, or other materials ("Listing") posted on, transmitted through, or linked from the Services, are the sole responsibility of the individual from whom such Listing originated. The User is entirely responsible for each �Listing", which includes Content or Description, Images, links of each post, email or communication made available via the Listing. The User understands that RG does not control, and is not responsible for Content made available through the Services, and that by using the Services, you may be exposed to Content that is inaccurate, misleading, or otherwise objectionable. In addition, RG and Content available via the Listing may contain links to other websites, which are completely independent of RG.  RG makes no representation or warranty as to the accuracy or authenticity of the information contained in any such site.  You agree that you must evaluate, and bear all risks associated with, the use of any Content or Images included in the Listing. RG will not be liable in any way for any Listing or for any loss or damage of any kind incurred as a result of the use of any Listings posted, emailed or otherwise made available via the Services. The User acknowledge that RG does not pre-screen or approve Listings, but that RG shall have the right (but not the obligation) in its sole discretion to refuse, delete or move any Listings that is available via the Services, for violating the Terms of Use.

THIRD PARTY CONTENT, SITES, AND SERVICES

Listings available through the Services may contain features and functionalities that may link you or provide you with access to third party content which is completely independent of RG, including web sites, directories, servers, networks, systems, information and databases, applications, software, programs, products or services, and the Internet as a whole.

The User exchanges with businesses and/or individuals found on or through the Service, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such businesses and/or individuals.  If the User feels misled in any way, an investigation or research should be conducted if necessary before proceeding with any transaction with any of these third parties.

You agree that RG will not be held responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between participants on ROVERGROVER.COM, or between users and any third party, you understand and agree that RG is under no obligation to act as an intermediary.  In the event that you have a dispute with one or more other users, you hereby release RG, its officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and / or our service

NOTIFICATION OF INFRINGEMENT

If the User feels his or her Listing(s) has been duplicated, misleading the public in any way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please immediately notify RG for notice of claims of copyright or other intellectual property infringement. Notice(s) can be forwarded to info@rovergrover.com.

The use of our Services signifies acknowledgement of and agreement to which RG may, in its sole discretion, preserve or disclose your Listings, as well as your information, such as email addresses, IP addresses, timestamps, and other user information, if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: comply with legal process; enforce the Terms; respond to claims that any Content violates the rights of third-parties; respond to claims that contact information (e.g. phone number, street address) of a third-party has been posted or transmitted without their consent or as a form of harassment; protect the rights, property, or personal safety of RG, its users or the general public.

PROHIBITED ACTIONS

The following is a partial list of the kinds of activities that are prohibited on or through ROVERGROVER.COM. The User agrees not to post, email, or otherwise make available Listings:

a) that is unlawful, harmful, threatening, abusive, harassing, defamatory, libelous, invasive of another's privacy, or is harmful to minors in any way; b)  that harasses, degrades, intimidates or is hateful toward an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability; c)  that violates the Fair Housing Act by stating, in any notice or ad for the sale or rental of any dwelling, a discriminatory preference based on race, color, national origin, religion, sex, familial status or handicap (or violates any state or local law prohibiting discrimination on the basis of these or other characteristics); d)  that impersonates any person or entity, including, but not limited to, a RG employee, or falsely states or otherwise misrepresents your affiliation with a person or entity; e) that includes personal or identifying information about another person without that person's explicit consent; f) that is false, deceptive, misleading, deceitful, or constitutes "bait and switch"; g) that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party, or Content that you do not have a right to make available under any law or under contractual or fiduciary relationships; h) that contains  "affiliate marketing," "link referral code," "junk mail," "spam," or unsolicited commercial advertisement; i)  that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; j) that disrupts the normal flow of dialogue with an excessive amount of Content (flooding attack) to the Service, or that otherwise negatively affects other users' ability to use the Service; k) that employs misleading email addresses, forged headers or otherwise manipulated identifiers in order to disguise the origin of Content transmitted through the Listings.

Users of our service, or the general public many not:

l) contact or harass anyone who has asked not to be contacted; m) collect personal data about other users for commercial or unlawful purposes; n) use automated means, including spiders, robots, crawlers, data mining tools, or the like to download data from the Services; m) post non-local or otherwise irrelevant Listings, repeatedly post the same or similar Listings under different neighborhood sections; n) try to gain unauthorized access to RG back end systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of ROVERGROVER.COM

SPAM POLICY

The User understands and agrees that sending unsolicited email advertisements to Listings email addresses violates certain federal and state laws. For more information, contact the Federal Trade Commission or www.ftc.gov.

PAID POSTINGS

RG may charge a fee to post Listings in the Apartment Listing Section of the Services. Each party posting Listings to the Service is responsible for all Content and Images, compliant to the Terms. All fees paid will be non-refundable.

GUIDELINES FOR LISTINGS

The User acknowledges that RG may establish time constraints concerning each posting, including the maximum number of days that Listing will be retained by the Service, the maximum number and size of postings. You agree that RG has no responsibility or liability for the deletion or failure to store any Listing maintained or transmitted by the Service. The User acknowledges that RG reserves the right at any time to modify or discontinue the Listing (or any part thereof) with or without notice, and that RG shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Listing.

ACCESS TO THE SERVICE

RG grants the User limited use the Services for your own personal or commercial use.  This license does not include: (a) access to the Service by Posting Agents; or (b) any collection, aggregation, copying, duplication, display or derivative use of the Listing.

RG permits you to display your website, create a hyperlink to your website to, individual postings on the Service so long as such use is for noncommercial and/or news reporting purposes only (e.g., for use in personal web blogs or personal online media). You may also create a hyperlink to the home page of RG sites so long as the link does not portray RG, its employees, or its affiliates in a false, misleading, derogatory, or otherwise offensive matter.

Use of the Services beyond the scope of authorized access granted to you by RG immediately terminates said permission or license.  In order to collect, aggregate, copy, duplicate, display or make derivative use of the Service or any Content made available via the Service for other purposes (including commercial purposes) not stated herein, you must first obtain a license from RG.

TERMINATION OF SERVICE

The User agrees that RG, in its sole discretion, has the right (but not the obligation) to delete or deactivate your account, block your email or IP address, or otherwise terminate your access to or use of the Services (or any part thereof), immediately and without notice, and remove any Listing within the Service, for any reason, including, without limitation, if RG believes that you have acted conflictingly with the terms of this agreement. In addition, you agree that RG shall not be liable to you or any third-party for any termination of your access to the Services.

PROPRIETARY RIGHTS

RG, and all of its content, is protected to the extent permitted by copyright laws. Content displayed on the Listings is protected by copyright as a collective work and/or compilation, pursuant to copyrights laws. The User further agrees not to reproduce, duplicate or copy Content from the Services without the express written consent of RG. You may not disseminate, or attempt to ascertain source code contained on ROVERGROVER.COM in itself. The User agrees not to copy, sell, resell or exploit ROVERGROVER.COM for any commercial purposes, including all aspects of the Services.

RG does not assert ownership of the content for any Listing. By posting Listings, the User automatically grants RG an irrevocable, non-exclusive, fully paid, license to use, copy, display and distribute content for each Listing. The User authorizes sublicenses (through multiple tiers) of the foregoing. Posting Listings to any public area on ROVERGROVER.COM, you automatically grant RG all rights necessary to prohibit any subsequent display, copying, duplication, reproduction, or exploitation of the content on the Services by any party and purpose.

DISCLAIMER & WARRANTIES

THE USER EXPRESSLY AGREES THAT USE OF ROVERGROVER.COM AND RELIANCE ON ITS CONTENT IS AT YOUR OWN RISK. ROVERGROVER.COM, ITS AFFILIATES AND THEIR RESPECTIVE THIRD-PARTY LICENSORS DO NOT MAKE ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND REGARDING THE SITE, THE SOFTWARE, THE CONTENT, THE MATERIALS, THE LISTING SERVICE OR THE RESULTS THAT MAY BE OBTAINED FROM USE OF ANY OF THE FOREGOING. THE SITE, THE SOFTWARE, THE CONTENT, THE MATERIALS AND THE LISTING SERVICE ARE PROVIDED ON AN "AS IS, AS AVAILABLE" BASIS, AND ROVERGROVER.COM, ITS AFFILIATES AND THEIR RESPECTIVE THIRD-PARTY LICENSORS SPECIFICALLY DISCLAIM ANY AND ALL EXPRESS OR IMPLIED WARRANTIES INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, WARRANTIES OF MERCHANTABILITY AND WARRANTIES OF NONINFRINGEMENT. REAL ESTATE BROKERS, LANDLORDS, PROPERTY MANAGEMENT COMPANIES OR OTHER THIRD PARTIES SUPPLY ALL INFORMATION ASSOCIATED TO PROPERTIES, AVAILABLE ON ROVERGROVER.COM.

ROVERGROVER.COM AND THE AFFILIATES MAKE NO REPRESENTATIONS OR WARRANTIES, EXPRESSED OR IMPLIED, TO ANY ACTUAL OR PROSPECTIVE RENTER OF ANY APARTMENT AS TO THE EXISTENCE, OWNERSHIP OR CONDITION OF THE PROPERTY; AS TO THE ADVERTISED RENT, LEASE TERMS, SECURITY DEPOSIT, OR APPLICATION FEES, IF ANY; OR AS TO THE ACCURACY OR COMPLETENESS OF ANY INFORMATION ABOUT AN APARTMENT ADVERTISED ON THE SITE. RG CANNOT AND DOES NOT VERIFY OR WARRANT THE ACCURACY OR COMPLETENESS OF SUCH INFORMATION. RG RESERVES THE RIGHT, IN ITS SOLE DISCRETION, TO CORRECT ANY ERROR OR OMISSION ON THE SITE OR IN THE CONTENT. ALL CONCERNS, DIFFERENCES OR DISCREPANCIES REGARDING AN APARTMENT MUST BE ADDRESSED WITH THE REAL ESTATE BROKER, OWNER, LANDLORD AND/OR PROPERTY MANAGEMENT COMPANY PRIOR TO LEASING OF THE APARTMENT. RG DOES NOT MAKE AND EXPRESSLY DISCLAIMS ANY REPRESENTATIONS, WARRANTIES OR GUARANTEES TO YOU REGARDING THE LISTING SERVICE INCLUDING, WITHOUT LIMITATION, ANY REPRESENTATIONS, WARRANTIES OR GUARANTEES THAT YOU WILL LEASE YOUR APARTMENT, OBTAIN AN ACCEPTABLE RENT FOR YOUR APARTMENT, ONLY RECEIVE LEGITIMATE INQUIRIES OR SOLICITATIONS FROM QUALIFIED RENTERS, OR RECEIVE ANY INQUIRIES REGARDING YOUR APARTMENT FOR RENT. FOR PURPOSES OF THIS WARRANTY DISCLAIMER, "THIRD-PARTY LICENSOR" DOES NOT INCLUDE YOU. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you.

LIMITED LIABILITY

ROVERGROVER INC., ITS AFFILIATES, AND THEIR RESPECTIVE OWNERS, EMPLOYEES, AGENTS, CONTRACTORS AND THIRD-PARTY LICENSORS SHALL IN NO WAY SHALL BE LIABLE FOR ANY DAMAGES OR LOSSES INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL OR PUNITIVE DAMAGES, RESULTING FROM OR CAUSED BY THE SITE, THE SOFTWARE, CONTENT, THE MATERIALS, THE LISTING SERVICE, THESE TERMS OF SERVICE OR OTHERWISE (INCLUDING, WITHOUT LIMITATION, DAMAGES RESULTING FROM NEGLIGENCE. Some states do not allow the exclusion or limitation of incidental or consequential damages of implied warranties, so the above exclusion or limitation may not apply to you.

INDEMNITY

User agrees to indemnify and hold RG, its officers, subsidiaries, affiliates, successors, assigns, directors, officers, agents, service providers, suppliers and employees, harmless from any claim or demand, including reasonable attorney fees and court costs, made by any third party due to or arising out of Content the Users submits, posts or makes available through the Listing, the use of the Service, violation of the Terms, or breach of any of the representations and warranties herein, or the User violates any rights of another.

VIOLATION OF TERMS AND LIQUIDATED DAMAGES

The User understands and agree that in ROVERGROVER.COM�s sole discretion, and without prior notice, your access to this Site may be terminated or suspended, and RG may exercise any other remedy available and remove any Materials, if RG believes that your use of the Site and/or any Materials you provide (a) violate (i) these Terms of Use, (ii) the rights of RG, any Affiliate or Licensor, or another User, or (iii) any law or regulation, or are otherwise objectionable or inappropriate or (b) constitute fraudulent activity of any nature. You agree that monetary damages may not provide a sufficient remedy to RG for violations of these Terms of Service, and you consent to injunctive or other equitable relief for such violations without the requirement that RG post a bond. RG is not required to provide any refund to you if you are terminated as an authorized User because, in ROVERGROVER.COM�s sole discretion, you have violated these Terms of Use.

GENERAL INFORMATION

Terms of Agreement represent the entire agreement between the User and ROVERGROVER Inc., and govern the use of the Service, replace any prior agreements between the User and RG. The Terms and the relationship between User and RG shall be governed by the laws of the New York without regard to its conflict of law provisions. The User and RG agree to submit to the personal and exclusive jurisdiction of the courts located within the county of New York, New York. The failure of RG to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect. The User agrees that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of ROVERGROVER (Services, Listing) or the Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.
